Holy Trinity Catholic School Music Boosters' By-Laws

Article I Name

The name of this organization shall be the Holy Trinity Catholic School Music Boosters (hereinafter referred to as the Organization). The boosters were formed July 1, 2005 with the approval of the Holy Trinity Catholic School Board.

Article II Purpose

The Organization shall be operated as a non-profit organization exclusively for the support of instrumental education of students of Holy Trinity Catholic Schools in grades 5 12 and vocal education of students in grades 6-12, and as such, will support the following:

  1. To provide moral, volunteer & financial support to the band director(s) and choral director(s) in order to develop student growth in musicianship, performance, leadership, academic excellence, citizenship & self-discipline.
  2. To assist the Music Department in providing an environment conducive to excellence in music education.
  3. To support the directors of the music department and not interfere with the administration of the program and the school or its policies.

Article III Membership

Membership in the Organization shall consist of parents or guardians of band or choral members in grades 5 12 and any person interested in promoting and supporting the Holy Trinity Catholic School Music Department. The Executive Board is comprised of parents or guardians of band or choral members in grades 5-12.

At present, there shall be no annual dues required to be a member of the Organization.

Article IV Administration

  1. An Executive Board, composed of the elected officers and six (6) parent representatives, one from each of the following: fifth/sixth-grade band, middle school band/vocal, freshman, sophomore, junior and senior band/vocal, shall govern the Organization. The band director(s) and choral director(s) shall serve as non-voting members of the Executive Board. The first year will consist of officers voted upon by the existing members of the prior Aquinas and Marquette Music Boosters. The remaining committee members will serve as advisory members on the Executive Board for one year.
  2. The Executive Board shall have general oversight responsibilities for all affairs of the Organization; however, the Board shall be subject to the orders of the membership, and none of its acts shall conflict with action taken by the membership.
  3. The Executive Board shall meet monthly at a date and time set by the Board.
  4. Five (5) members shall constitute a quorum for the transaction of business in any meeting of the Executive Board.

Article V Meetings

Regular meetings of membership shall be held at least four times a year.

The President shall have the power to call a special meeting, if necessary. Every reasonable effort shall be made to notify all members of the Executive Board and of the General Membership of the time and place of such special meeting as far in advance as possible.

All meetings shall be governed by common sense, courtesy and common parliamentary procedure.

A quorum for a general or special meeting shall consist of at least five (5) members of the Executive Board and the General Membership in attendance.

Article VI Duties of Officers

The elected officers of the Organization shall consist of the President, Vice-President, Secretary and Treasurer and positions are effective from July 1 through June 30.

President

The President shall prepare the agenda and preside at all meetings of the Organization and serve as an ex-officio member of all committees. The President shall establish standing and special committees and appoint their chairpersons as required, which shall include a parent representative, to serve for a period of one year, one from each of the following: fifth/sixth-grade band, middle school band/vocal, freshman, sophomore, junior and senior band/vocal. The President shall be the official representative of the Organization to the Holy Trinity Catholic School Board and shall maintain communication with the band director(s), choral director(s) and the other officers of the Organization

Vice President

The Vice-President shall assist the President and perform duties of the President in his/her absence, will oversee major projects, work directly with committee chairs to give assistance necessary for successful completion of a project.

Secretary

The Secretary shall keep the minutes of all Executive Board and General Membership meetings and make these available to the membership through a written report. The Secretary shall also keep a record of all correspondence and shall be responsible for the newsletter and any general publicity.

Treasurer

The Treasurer shall present the proposed budget to the General Membership for approval and submission to the Holy Trinity Catholic School Board on an annual basis as well as collect all funds of the Organization and request payment of bills. The Treasurer shall present a report of the finances at every meeting of the Organization, including all disbursements and will audit monthly reports of financial activities. The Treasurer will keep a permanent record of all income, disbursements and receipts. The fiscal year will be from July 1 to June 30. A budget analysis will be provided to the HTCS School Board at the end of each fiscal year. When necessary, the Treasurer is responsible for maintaining individual student accounts for the purpose of reflecting account balances allotted for fundraising activities.

  • Parent/guardian of students with excess funds in their student account at the time of graduation or in the event the student is not returning to the program may designate their account be transferred to another band/chorus member, either present or future, by making the request in writing. Future students must be named and a date of enrollment given. If no designation is made, funds will revert to the general fund. The Treasurer will maintain the account six (6) months past the assigned date. If no contact is made, the funds will revert to the general fund.

Article VII Election of Officers

1. Eligibility

Any member who has been in good standing shall be eligible for election to any office, subject to the following conditions:

Officers of the Organization are eligible for re-election after two years absence from an office.

No member shall hold more than one office at a time.

2. Nominations

Prior to the final General meeting of the year, the Nominating Committee will identify possible candidates for next year's Board and announce them at the final General meeting. These candidates names will be placed in nomination. Additional nominations may be made from the floor, but each nominee must accept the nomination.

3. Voting

Voting will be by a show of hands of the General Membership with the outcome being determined by a simple majority. Should it be deemed necessary, the Board may utilize a secret ballot. If a secret ballot is used, the Secretary, Committee Chair and a non-board member will count and announce the results.

4. Terms of Office

Terms of office of the Executive Board shall be for a two-year period as follows: Secretary will be up for election in even-numbered years, Treasurer will be up for election in odd-numbered years with the office of Vice President elected each year. The Vice President assumes the duties of President on the second year of their term. Elected officers shall assume their duties at the beginning of the next fiscal year.

5. Vacancies

If a vacancy occurs in the office of president, the vice president shall assume the presidency for the remainder of the term. In the event of a vacancy in one of the other offices, the nominating committee shall present a candidate for the vacancy at the first general meeting following the vacancy. Additional nominations may be made from the floor. An election will follow immediately and this elected officer shall assume the duties of the vacant office for the remainder of the unexpired term.

Article VIII Budget

  1. Funds to support the music department will be derived from student fees and fund-raising activities approved by the Executive Board.
  2. A proposed budget developed by the Executive Board shall be presented to the General Membership at the final meeting of the year for approval and submission to the school board.
  3. The Organization will assume responsibility only for those expenditures, which have been authorized. Those who have received authorization for expenditures will follow the policies for purchase orders set by the Holy Trinity School Board and verify that the merchandise or services are received prior to forwarding invoices for payment. The Executive Board shall obligate no more than $250.00 of the organization funds for any budgeted expense without express approval of the membership.

Article IX Amendments

These by-laws are subject to approval of the membership and of the School Board. Amendments to these bylaws shall be made available a minimum of two weeks prior to the meeting at which the proposed amendments are to be voted on. Amendments must be approved by a two-thirds majority of the voting membership present at a general meeting and be approved by a two-thirds majority of the Music Boosters Executive Board and also by a majority of the school board before they are effective.
